The E-SIGN Act Provisions

The Federal Electronic Signatures in Global and National Commerce or E-SIGN ACT (Pub.L. 106-229, 14 Stat. 464, enacted June 30, 2000, 15 U.S.C. Chapter 96) is a United States federal law passed by the U.S. Congress to facilitate the use of electronic records and signatures in interstate and foreign commerce by ensuring the validity and legal effect of contracts entered into electronically.

The general intent of the E-SIGN Act is spelled out in section 101(a), that a contract or signature "may not be denied legal effect, validity, or enforceability solely because it is in electronic form". This statement provides that electronic signatures and records are just as good as their paper equivalents, and, therefore, subject to the same legal scrutiny of authenticity that applies to paper documents.

Section 101(b) of the E-SIGN Act preserves the rights of individuals to NOT USE electronic signatures. The law provides that individuals reserve the right to sign their name on paper. Section 101(c) of the E-SIGN Act requires a disclosure that the signatory has consented to use an electronic format.

BY CREATING AN ELECTRONIC ACCOUNT AT OUR SITES, OR BY SUBMITTING AN ONLINE APPLICATION FOR SERVICES, YOU AGREE THAT AN ELECTRONIC FACSIMILE OF YOUR SIGNATURE OR ELECTRONICALLY SIGNED AGREEMENT CARRIES THE FULL LEGAL WEIGHT OF A WRITTEN SIGNATURE

E-SIGN Act Disclosure and Consent

This E-SIGN Act Disclosure and Consent applies to all communications between you and TAXTAKE that are not otherwise governed by separate terms and conditions. The words "we," us," and "our" refer to TAXTAKE, and the words "you" and "your" mean you, the individual or entity identified as the owner of an electronic account on our Sites. The word "communication" includes any agreements, contracts, or amendments thereto, disclosures, notices, updates, responses to claims, tax returns, tax and accounting statements, transaction history, privacy policies, terms and conditions, and all other documents and information related to the service we provide to you, including but not limited to documents and information that we are required by law to provide to you in writing.

Communications in electronic form

When you affirmatively act to create an account or register for a service on our Sites, you agree that we may provide you with any communications in electronic format and that we may not send paper communications to you, unless and until you withdraw your consent as described below. Your consent to receive electronic communications and transactions includes, but is not limited to legal and regulatory disclosures, communications associated with the service available through our Sites, all notices and disclosures about a change in the terms of use or privacy policy, all contracts and agreements, all documents and information that the service encompass, and all other documents and information we deem necessary to complete our engagement with you.

How we provide communications in electronic form?

All communications that we provide to you in electronic form will be provided either via e-mail or by accessing your personal account on our Sites.

System requirements to receive communications in electronic form

To receive an electronic copy of all communications you must have the following equipment and software

  • A personal computer, laptop, tablet, smartphone, or other devices which are capable of accessing the Internet. Your access to this page verifies that your device meets these requirements.
  • An Internet web browser which is capable of supporting 256-bit SSL encrypted communications, which requires a minimum web browser version of Microsoft® Internet Explorer version 9.0 and your system or device, must have 256-bit SSL encryption software. Your access to your personal account verifies that your browser and encryption software/device meets these requirements.
  • You must have software which permits you to receive and access Portable Document Formats or "PDF" files, such as Adobe Acrobat Reader version 8.0 and above (available for free at http://www.adobe.com/). Your access to this page DOES NOT verify that your device has the necessary software to permit you to receive and access PDF files.

How to update your information?

It is your responsibility to provide us with a correct, accurate and complete e-mail address, contact, and other information related to this E-SIGN Act Disclosure and Consent. You also agree to maintain and update promptly any changes in this information. All users of our Sites may make any changes to their information at any time by logging into their personal account and going to the "Edit User Profile" information page.

How to withdraw your consent to receive electronic communications?

We may treat your provision of an invalid email address or the subsequent malfunction of a previously valid address or cancellation of a service as a withdrawal of your consent to receive electronic communications. Any withdrawal of your consent to receive electronic statements will be effective only after we have a reasonable timeframe to process your withdrawal. Moreover, we reserve the right to charge you additional fees, should you withdraw your consent to receive electronic communications.

Should we decide to change our E-SIGN Act Disclosure and Consent, we will post those changes on this page, at least, 30 (thirty) days before the date of entry into force of the new E-SIGN Act Disclosure and Consent.
